These Terms and Conditions ("Terms") govern your use of the Open Base Africa website, www.openbaseafrica.com. By accessing or using the website, you agree to these Terms. If you do not agree, please do not use the website.

These Terms apply only to use of the website. They do not replace any signed agreement between you and Open Base Africa Ltd, including a mutual non-disclosure agreement, master services agreement, data processing addendum, statement of work, proposal, employment agreement, advisor agreement, or other written contract. If there is a conflict between these Terms and a signed agreement, the signed agreement controls for the services or relationship it covers.

Open Base Africa Ltd ("Open Base Africa", "OBA", "we", "us", or "our") is a Ghana-based operations company. We build and run operations teams in Africa for companies based in the United States, the United Kingdom, Europe, Australia, and other markets.

The website is provided to explain who we are, what we do, the kinds of services we offer, examples of our work, and how prospective clients, partners, investors, and job applicants can contact us.

A client relationship begins only when Open Base Africa and the client sign a written agreement or when we otherwise confirm in writing that services have been accepted under agreed terms.

Any service descriptions, pricing ranges, timelines, packages, case studies, metrics, or examples on the website are provided for general information. They are not a binding offer.

Actual services, staffing levels, pricing, timelines, locations, deliverables, reporting, data handling, compliance requirements, and responsibilities depend on scoping, due diligence, operational feasibility, client requirements, applicable law, and written agreement.

Unless we expressly state otherwise in a signed proposal or contract:

  • Timelines are estimates only.
  • Case studies and metrics describe past or current work and do not guarantee the same result for another client.

To the fullest extent permitted by law, our total liability for claims arising from or related to website use will not exceed USD 100.

Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, intentional misconduct, or any liability that cannot legally be limited.

17. Governing Law and Disputes

These Terms are governed by the laws of Ghana, without regard to conflict-of-law rules.

The courts of Ghana will have jurisdiction over disputes arising from or related to these Terms or website use, unless applicable law requires another forum.

This governing law clause applies to website use only. Signed client agreements may provide for different governing law, jurisdiction, dispute resolution, or escalation procedures.

18. Severability

If any part of these Terms is found to be invalid, unlawful, or unenforceable, that part will be interpreted or limited to the minimum extent necessary, and the remaining parts will continue in effect.

19. No Waiver

If we do not enforce a part of these Terms immediately, that does not mean we waive our right to enforce it later.
